Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Synode application, website, and related services (collectively, the "Service") operated by Synode, a sole proprietorship based in Sweden ("Synode," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Description of the Service

Synode is an AI-powered knowledge exploration and research tool. The Service allows users to create workspaces where they can ask questions, explore concepts through interconnected nodes on a visual canvas, import external sources, generate quizzes, and interact with AI-generated content. The Service is available via web browser at synode.io.

2. Eligibility and Accounts

2.1 Age Requirement

You must be at least 16 years old to create an account and use the Service as a registered user. The Service may be used by guests without creating an account; however, guest use is limited and no personal information is collected from guest users beyond what is stored locally on their own device.

2.2 Account Registration

To access certain features of the Service, you may register for an account using Google Sign-in or email and password through Firebase Authentication. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

2.3 Account Accuracy

You agree to provide accurate, current, and complete information when registering and to keep your account information up to date.

3. Use of the Service

You may use the Service for personal, educational, and professional purposes in accordance with these Terms. The Service is designed for knowledge exploration, study, and research.

4.1 Ownership

You retain all intellectual property rights in and to the content you create, upload, or submit through the Service ("User Content"), including workspace data, questions, notes, and imported materials. Synode does not claim ownership of your User Content.

4.2 License to Synode

By using the Service, you grant Synode a non-exclusive, worldwide, royalty-free license to use, store, process, transmit, and display your User Content solely for the purpose of providing, maintaining, and improving the Service. This includes transmitting your User Content to third-party AI service providers as necessary to deliver AI-powered features (see Section 7).

4.3 Responsibility

You are solely responsible for your User Content, including its accuracy, legality, and appropriateness. Synode does not monitor or review User Content and assumes no liability for any User Content submitted by users.

5. AI-Generated Content

5.1 Nature of AI Content

The Service uses artificial intelligence to generate answers, summaries, follow-up questions, quizzes, visualizations, and other content ("AI Content"). AI Content is generated by third-party AI models and is provided for informational and educational purposes only.

5.2 No Guarantees

AI Content may contain errors, inaccuracies, or outdated information. Synode does not guarantee the accuracy, completeness, reliability, or suitability of any AI Content. You should independently verify any information obtained through the Service before relying on it.

5.3 Not Professional Advice

AI Content does not constitute professional, legal, medical, financial, or academic advice. You use AI Content at your own risk and discretion.

6. Subscriptions and Payments

6.1 Plans

The Service is offered in multiple tiers, including a free tier with limited functionality and paid tiers with additional features and higher usage limits. Current pricing and plan details are available on our pricing page.

6.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis in Euros (EUR). Payments are processed securely through Stripe, a third-party payment processor. By subscribing to a paid plan, you agree to Stripe's terms of service.

6.3 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You can manage your subscription and cancel at any time through the Stripe Customer Portal accessible from within the Service.

6.4 Refunds

Subscription fees are generally non-refundable, except as required by applicable law. If you believe you are entitled to a refund, please contact us at legal@synode.io.

6.5 Prepaid Credits

The Service may offer prepaid AI credit packages as an add-on. Credits do not expire and are non-refundable once purchased. Credits are personal and non-transferable.

6.6 Promotional Codes

Synode may from time to time offer promotional codes that grant temporary access to paid features. Promotional access is subject to the terms specified at the time of redemption and may expire on a set date.

6.7 Price Changes

We may change our subscription fees from time to time. Any fee changes will take effect at the start of the next billing cycle following notice to you. If you do not agree to the price change, you may cancel your subscription before the change takes effect.

These third-party services are governed by their own terms of service and privacy policies. Synode is not responsible for the practices or policies of third parties. By using the Service, you acknowledge and consent to the processing of your data by these providers as necessary to deliver the Service.

8. Intellectual Property

8.1 Synode's Rights

The Service, including its design, code, user interface, graphics, logos, and documentation, is owned by Synode and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service other than the limited right to use it in accordance with these Terms.

8.2 Feedback

If you provide feedback, suggestions, or ideas regarding the Service, you grant Synode a non-exclusive, royalty-free, worldwide, perpetual license to use and incorporate such feedback without restriction or obligation to you.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to the data practices described in our Privacy Policy.

10. Termination

10.1 By You

You may stop using the Service at any time. You may cancel your subscription through the Stripe Customer Portal or by contacting us. Upon cancellation, your access to paid features will continue until the end of the current billing period.

10.2 By Synode

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in conduct that may harm Synode or other users, or if required by law. We may also discontinue the Service entirely with reasonable advance notice.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may retain or delete your data in accordance with our Privacy Policy. For registered users, workspace data stored in Firestore may be deleted after a reasonable period following account termination. Guest data stored locally on your device is under your own control.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SYNODE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SYNODE DOES NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED CONTENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNODE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNODE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO SYNODE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).

NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless Synode from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any law or the rights of any third party.

14. Modifications to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by email (if you have a registered account) or by posting a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Sweden, without regard to its conflict of laws principles. Any disputes arising from or relating to these Terms or the Service shall be resolved by the competent courts of Sweden.

If you are a consumer residing in the European Union, you also have the right to submit a dispute to the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Synode regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited to the minimum extent necessary so that the remaining provisions remain in full force and effect.

16.3 Waiver

Synode's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. Synode may assign these Terms without restriction.

16.5 Force Majeure

Synode shall not be liable for any failure or delay in performing its obligations due to events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, infrastructure failures, government actions, or internet outages.
